These Terms & Conditions ("Terms") govern your access to and use of the Samchu-AI platform, website, and services (the "Service"), which is operated and sold by Samuel Nwokemodo, a sole proprietor ("Samuel Nwokemodo", "I", "me", or "my"). You are contracting with Samuel Nwokemodo. By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

1. The Service

Samchu-AI is a structured AI reasoning platform that deploys a council of expert AI agents to analyse a problem statement, rank candidate solutions, model cost and adoption, build a business case, and produce exportable reports. The Service is provided on a software-as-a service basis.

2. Acceptance of Terms

By continuing to access or use the Service after these Terms are made available to you, you confirm that you accept these Terms and agree to comply with them. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

3. Accounts & Credentials

• You must provide accurate information when creating an account and keep it updated.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You must be of legal age in your jurisdiction to form a binding contract.
• Notify me promptly of any unauthorised use of your account or any other security breach.

4. Acceptable Use & Misuse

You must not misuse the Service. Without limitation, you agree not to:

• use the Service for any unlawful, fraudulent, or abusive purpose;
• submit content that infringes the intellectual property, privacy, or other rights of any third party, including prompts or uploads you do not have the right to use;
• generate illegal, harmful, threatening, abusive, harassing, defamatory, or hateful content, or content that facilitates malware, phishing, or other cyberattacks;
• attempt to probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measures;
• reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service or any underlying model;
• resell, sublicense, redistribute, or provide access to the Service on a commercial basis without my written permission; or circumvent any usage limits or technical restrictions.

5. Generative AI Outputs

The Service uses generative AI to produce analysis, recommendations, and text. Outputs may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for your prompts, for how you use any output, and for verifying the accuracy of outputs before relying on them. Outputs are not legal, medical, financial, investment, tax, or other professional advice and must not be relied upon as such without independent oversight by a qualified professional. You must ensure you have the rights to any content you submit and are responsible for the consequences of using it.

I may moderate content and outputs: I may remove, restrict, filter, or refuse to generate content that violates these Terms or applicable law, and I may suspend accounts responsible for repeated infringement. I provide a takedown pathway for rights-holder complaints — contact me at the address below and I will investigate and act on valid notices.

6. Intellectual Property

I retain all right, title, and interest in and to the Service and its intellectual property, including the software, documentation, branding, prompts, agent configurations, and underlying models. You receive a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely within your selected plan for the duration of your subscription.

You retain ownership of the content you submit. You grant me a limited, worldwide, non-exclusive licence to host, store, and process your content solely as necessary to provide the Service to you. Outputs you generate are yours to use subject to these Terms.

7. Service Levels

The Service is provided on an "as is" and "as available" basis. I do not guarantee that the Service will be uninterrupted, error-free, secure, or that any output will be accurate or meet your requirements. I may modify, suspend, or discontinue features at any time without notice.

8. Payment, Subscription & Billing

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

Payment, billing, taxes, subscription terms, renewals, cancellations, and refund mechanics are governed by Paddle's Buyer Terms, available at https://www.paddle.com/legal/checkout-buyer-terms. By subscribing to a paid plan you authorise Paddle to charge the applicable fees on a recurring basis until you cancel. See our Refund Policy for refund requests.

9. Suspension & Termination

I may suspend or terminate your access to the Service immediately, without notice, where:

• you materially breach these Terms and, where curable, fail to remedy the breach within 14 days of notice;
• you fail to pay amounts when due;
• your account or activity presents a security or fraud risk to me, other users, or third parties; or
• you engage in repeated or serious violations of these Terms or applicable law.

You may terminate your account at any time from Settings or by contacting me. On termination, your right to access the Service ends, and I may delete or anonymise your data after a reasonable export window. Provisions that by their nature should survive termination — including intellectual property, disclaimers, and liability — remain in effect.

10. Disclaimers & Limitation of Liability

To the fullest extent permitted by law, the Service is provided without warranties of any kind, and I disclaim all implied warranties including merchantability and fitness for a particular purpose. Neither I nor Paddle shall be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill.

My aggregate liability arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, is limited to the fees you paid me in the twelve (12) months preceding the event giving rise to the claim. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by negligence, or any other liability that cannot be excluded by law.

11. Indemnity

You agree to indemnify and hold me harmless from any claims, damages, and expenses arising out of your content, your unlawful use of the Service, or your violation of these Terms.

12. Governing Law & Disputes

These Terms are governed by the laws of your jurisdiction of residence to the extent permitted, and otherwise by the laws applicable to Samuel Nwokemodo. You and I submit to the non-exclusive jurisdiction of the courts of that jurisdiction. Any dispute will first be attempted to be resolved by good-faith negotiation.

13. Changes to These Terms

I may update these Terms from time to time. I will notify you of material changes by email or in-app notice. Continued use after the effective date constitutes acceptance of the updated Terms.
